What Happened?

In Peter Frouws, et al. v. Lyons, et al., No. 2:23-cv-00691-PHX-DJH (U.S. District Court, District of Arizona), lead plaintiff alleged that former CEO Robert Lyons and former CFOs Daniel Boncel and Stephen Cumming violated Sections 10(b) and 20(a) of the Securities Exchange Act and Rule 10b-5.

The complaint alleged materially false or misleading statements and omissions about Edgio's performance, growth, sales pipeline, business strategy, internal financial controls, and revenue, which allegedly kept the stock artificially inflated until the truth emerged.

Limelight Networks renamed itself Edgio in June 2022; the ticker changed from LLNW to EGIO. Both tickers are covered by the class. Defendants deny all wrongdoing.

The $15,000,000 cash settlement will be distributed pro rata based on Recognized Loss under a court-approved Plan of Allocation after fees, costs, and administration expenses. Settlement hearing: September 14, 2026 before Judge Diane J. Humetewa.
